NEWS-IVOC iVoice Announces Filing of Registration Statements for Three Spin-off Companies

Matawan, NJ, November 17, 2004 -- iVoice, Inc. (OTCBB: IVOC), a leader in speech-recognition technology, announced today that three subsidiary companies, which iVoice intends to spin-off via dividends to shareholders, have filed registration statements on Form SB-2 with the Securities and Exchange Commission.

The registration statements each relate to the distribution by dividend to all Class A Common Stock stockholders of iVoice, Inc. of up to 10,000,000 shares of iVoice Technology, Inc. Class A Common Stock, Deep Field Technologies, Inc. Class A Common Stock, and SpeechSwitch, Inc. Class A Common Stock, respectively.

After each of the registration statements is declared effective by the Securities and Exchange Commission, holders of iVoice Class A Common Stock, other than affiliates of iVoice, Inc., will receive one share of Class A Common Stock of each subsidiary being spun-off, iVoice Technology, Inc., Deep Field Technologies, Inc. and SpeechSwitch, Inc., for every 874 shares of iVoice Class A Common Stock that they hold. These figures are subject to change based upon the final number of iVoice shares outstanding as of the record date for each distribution. Following the distribution, 100% of the outstanding Class A Common Stock of each subsidiary will be held by non-affiliates of that subsidiary.

iVoice Chairman and CEO Jerry Mahoney said, "With the filing of the registration statements with the SEC, we have taken a major step forward in the process of spinning out these three companies to our shareholders as non-cash dividends as a way of providing additional value to shareholders."

The distributions will be made if and when SEC review of the proposed transaction has been completed and the registration statement is declared effective. The distributions are not a reverse stock split by iVoice.

Registration statements relating to these securities have been filed with the Securities and Exchange Commission but are not yet effective. These securities may not be sold nor may offers to buy be accepted prior to the time the registration statement becomes effective. This release shall not constitute an offer to sell or the solicitation of an offer to buy nor shall there be any sale of these securities in any state in which such offer, solicitation or sale would be unlawful prior to registration or qualification under the securities laws of any such state.
