If I may jump in, the point behind the shares is to be able to walk away from a bad deal.

If the other side knows you need money, big money, real soon, they can beat you down on the price and terms. Wouldn't you? Who pays retail?

If you don't need money, everyone is willing to lend you money on good terms, but if you need it, they will want every bit of blood in your body, that's business.
