liable...though you are correct in technical terms...I think the company is not aware of the proper proceedings, neither are the ones that are on the companies pay-list....
IMHO the company needs as many as possible to hide the additional dilution hence even the poor gullible sods that buy today or tomorrow will probably get their "dividend" and will therefore be eligible to enjoy the ride down to sub-penny afterwards!!! LOL
