The Series II perferred shares are the deadly ones.
1) They are not convertable to common and so do not have to be accounted for in the A/S or O/S.
2) 62,500,000 perferred Series II
3) Let us take the gentle conversion rate of 125 shares and forget the 167 deal for a minute here.
4) 62,500,000 x 125 = 7,812,500,000 shares
5) A total of 7,812,500,000 shares can be converted into the Series II.
6) It has never been said that the shares Converted into the Series II are Retired or if they just recycle into the A/S.
7) We all noticed the O/S was reduced by 500,000 shares the other day.
8) Now add 7,812,500,000 to the current O/S of 2,500,000,000 to get 10,312,500,000 shares.
9) Now use the total of a possible 4,000,000,000 O/S to the 7,812,500,000 to get 11,812,500,000 total shares.
This is an end run around any share count. If 11,812,500,000 shares at a pitiful price of .02 cents seems small then think again because it equals =
$236,250,000
THEY CAN DILUTE AT THE SPEED THAT PEOPLE CONVERT AND STILL MAINTAIN A STEADY O/S
500,000 shares in; 500,000 shares out
1,000,000 shares in; 1,000,000 shares out
10,000,000 shares in; 10,000,000 shares out
the financials are not AF's and the Yeild Sign will give them a lot of lead way.
