LMAO REG D 504 is the vehicle used by all pink sheet companies to raise up to 1 million dollars per 12 month period.

This 504 program was instituted by the SEC for small public companies as an exemption to a registration as to allow small businesses a way to obtain financing.

It is fully legal and appropriate for the small business to raise capital.
