Just the registration and a 211...that's all that was needed. An 8-K won't do for a merger, unless they are reporting the fact that it will/will not or has occurred.

8-Ks are simply documented facts about material events. They don't have any "power".

Good stocks are obvious. Extensive DD is how you convince yourself to buy a bad one.
