If he doesn't Pay-off-Debt now with that financing package, then I'd seriously question his support for the common shareholder.

He can keep a huge chunk of shares off the street.
It would make no sense in the future to buy these back at a much higher price.

Roll that DEBT in, and possibly catch Cornholio short ahead of the conversion or the MM's ahead of the expected conversions.
