A majority of the voting power of the Company's outstanding common stock, which is held by Francis P. Manzo III (Controlling Shareholder) and has determined by exercising his super majority vote to have the Company file a Form N-54C and withdraw its election to be registered as a BDC.

Note there are no outstanding Preferred Shares, so at the very least Francis Manzo owns at least 50% of the outstanding common shares (1.8B) assuming each share is entitled to 1 vote. In addition, they are buying back 360m shares. so the true puclicly tradable float is probably somewhere in the neighborhood of 1.2 - 1.4B shares at the most. Add in the term "super majority vote" and the public float could be much lower than this as he would need 67 - 90%.

We won't know for sure until we see the official filings but I think our prospects look pretty good here. Also try to find any penny stock out there where the CEO states there will not be an R/S or any other dilutive action to the stock, LOL
