As much as it pains me to say it, I agree with Todd...ouch!

"The entire share structure will change at the point of merger completion.. it HAS to.. we will get 5% + the value of the $1.9M of infused capital.. if he does a r/s now he risks having to do another one later in order to uplist.. there is no way he would risk having to do two r/s's."
