Dear Sirs:

It does not exists a reason at this moment by which Desimplex must break relations with Panamersa, Desimplex has a contract signed with Panamersa in where Panamersa is committed to make an investment for the Desimplex expansion around the globe, at the moment in which the investment is already completed, Panamersa will obtain 20% of Desimplex. At this moment we are in stand by, waiting the investment to be completed.
