1: No R/S - ok easy to understand no Reverse Stock Split.
2: No Debentures - seemingly easy also no forced buyback.

Where your wrong here is the when he said no debentures, he meant no debentures. That does not mean no forced buyback. Thats your fault, not his. Bad interpretation. We are clearly not receiving any debentures from this at the moment.
