The RS isnt really the big issue here imo. Its the preferred shares CB will use to steal the compnay away from the shareholders. He will then grant options up the wazoo to his cronies, just enough to have enough shares for a majority and then he won't have to even look at a shareholder again.

That's the real potential problem. And when is the Padgett#12 and Nash FACT? Show me a PR that states production numbers?
