There's a big difference between being the legal thing to do and the right thing to do. I have never thought the proxy to be illegal and expect no issues with the SEC. I do believe it to be unjust and a slap in the face of shareholders and thus has opened up management to the increasing potential of replacement. As to illegalities, and weather what was done to me personally, and potentially others, not being actionable, that's a bet I would not take.
