The PDR Exchange (Panama), Inc. is an operating company of Fundacion Pan America. It is duly registered in the Public Registry of the Republic of Panama, and is registered with all entities that are required under the Commerce Codes. Panamanian Law is not redundant; the exchange can do everything that is not prohibited by law. Being that it is an operating company of a foundation, it is supervised by the Foundational Council and the Protector, who are both overseen by Law 25 of the 12th of June 1995, and all of its statutes (Ministerio de Hacienda, Ministerio de Comercio e Industria).

The PDR Exchange will offer the trading of PDRs (Pan America Depository Receipts) to Fundacion Pan America Founders, Co-Founders & Beneficiaries, exclusively. This means that it will offer its services to second parties; not third parties.

Fundacion Pan America is legally authorized by Law 25 of the 12th of June 1995, and its bylaws, to act as a depository and clearing house for any type of real or financial assets, and to hold such assets in safekeeping, on behalf of and for the benefit of its beneficiaries, which may be legal entities, natural persons or governments that are in good standing. All beneficiaries will have a sub account that will be known only by the beneficiary and the Foundation, with a main account at the HSBC Bank (Panama), S.A. And, all handling of funds will be supervised by compliance officers, who will in turn be supervised by the “Superintendencia de Bancos”, a very private and merciless organization that protects the integrity of banking in Panama; the most important industry that we have to offer the world.

The Republic of Panama does not have bankruptcies in the Banking industry.

An important note: A PDR is exactly what the name means. It is a depository receipt; not a registered security. It is a negotiable instrument that represents the beneficial ownership of registered securities and real estate participations, including MicroForests and mineral deposits that are protected by Fundacion Pan America. This has to be understood. It is for Wealth Management and the commercialization of wealth, in a secured environment that cannot be corrupted.

On the other hand, the PDR exchange will soon be offering Pan America Bonds (a registered security, savings bond) to everyone, in order to fund infrastructure and sustainable projects that will assist in the commercial integration of Latin American into the economic development of the Western Hemisphere. These Pan America Bonds will be issued by “Corporacion de Desarrollo Pan America CODEPA; S.A.”, and the entire issue will be conveyed to Fundacion Pan America, where they will be underwritten and sold as PDRs.

I have several questions that seem to keep coming up on IHUB.

1. What governmental approvals are required to operate the PDR exchange? has Panamersa obtained such approval?

2. What kind of oversight will the PDR exchange have? any regulatory committees, etc.? (Essentially, who will watch over the exchange in order to make sure that everything functions properly and without manipulation?)
