CMM should know the total assets, preferred and outstanding shares at tme of offer, how should the issue of dilution be happened?

Maybe the private fund is trying to convert to common shares, intentionally to drop the PPL in order to get more common shares.This may affect the total outstanding shares. However, CMM should know this as well at the time of offer.

Correct me if I am wrong
