Lets say I'm an "Accredited Investor" Mr. Berman offers to sell me 60 million shares at .0007 apiece, even though the PPS was .0010 during the 504. If I am to make a profit, I am willing to sell at anything above .0007. Further, if my boss is worried about me loosing the firm money, he will want me to get rid of the shares while making a profit as fast as possible, before it has a chance to drop below.


Thats how a 504 works. Mr. Accredited Investor now has all the shares on his table, and wants to get rid of them instead of having the risk. They act just like me or you, only with a much higher bank roll (than me at least).
