No they are just new filings to record the sale of shares that everyone knew were being sold anyway. They are not new shares by a long shot.

Reg D Companies selling securities in reliance on a Regulation D exemption or a Section 4(6) exemption from the registration provisions of the '33 Act must file a Form D as notice of such a sale. The form must be filed no later than 15 days after the first sale. The exact form type is usually REGDEX, but may be a REG D-1 or similar.

The shares could have been sold earlier and with some of the big volume days, it is very probable that they were, or as was pointed out may be introduced after the June 1 cutoff.

I have seen REGDEX filings before and really all it means is that the information could not be filed electronically. It was filed in paper form.

As for the address on the SEC page, that is the address of the Nevada Resident agent. Completely understandable as they have the power in essence to execute corporate filings in the state of Nevada.
