CERNO Holdings Ltd.

CERNO Holdings Ltd. is a wholly owned subsidiary of 37Point9. Its product, called SurfaceShield, is a new, revolutionary, extended life, killer disinfectant. The Formula 51, a vital component of SurfaceShield, is now owned by CERNO, which will manufacture & sell the product, as well as license the technology to other disinfectant manufacturers. As this is being written on 10/2/2001, patent applications have been completed for submission to the U.S. Patent Office regarding SurfaceShield.

This new anti-microbiological disinfectant formulation & its soon to be patent pending, chemical grafting process permits, for the first time, the ability to disinfect & kill a wide range of microbiologic­als identified as bacteria, viruses, germs, & fungi when applied to substances such as polymers, glass, wood, ceramics, textiles, composites, laminates, to name just a few substrates.

On 10/16/2001, Cerno entered into an agreement with International Testing Laboratories of Newark, NJ to develop an addition to its SurfaceShield that will enable it to kill the bacillus anthracis (anthrax) while it is in its vegitative state & prior to release & sporulation of vegitative cells.

ILC's Dr. Martin Sackoff, PhD, executive director of laboratories, said he was quite confident of the ability to formulate another biocidal agent that would theoretically act to provide a synergistic effect microbiologically & act to enhance the biocidal activity against anthrax in its vegetative state. When completed, the enhanced SurfaceShield would be effective in killing the anthrax bacillus on computer keyboards, wood, glass, &

paper to name a few, in addition to the multitude of other microbiologicals now able to be killed by the basic SurfaceShield anti-microbiological spray.

SurfaceShield is a colorless liquid, that when sprayed onto a substrate surface, literally chemically grafts itself to the surface in a manner that makes it virtually impossible to remove by washing, heating, sterilization, autoclaving, or other means of removal. SurfaceShield is designed to "kill" bacteria on the surfaces to which it is applied. Current disinfectants do indeed kill bacteria upon contact, but the effect ends almost immediately. SurfaceShield, since it bonds chemically with the substrates (the surfaces) to which it is applied, lasts a great deal longer. The time it lasts has proven to be about the same regardless of the substrate to which it is applied.

Surface preparation & the SurfaceShield application are performed in a single application within minutes. Since monomers are the building blocks of all polymers, they are very small in molecular size & light in atomic weight. As a result, the penetration of monomers below the substrate surface is much greater than any other solid or liquid. Therefore, pinhole-free coatings are easily obtainable with SurfaceShield.

Here are just a few of the common substrates to which SurfaceShield may be applied:

Polymers; Wood Surfaces-(cutting boards); Plastic Laminates (Formica); Glass Surfaces (glasses): Stainless Steel Surfaces; Brass Surfaces; Copper Surfaces (pots & pans); Cotton Materials (bandages); Wood Materials; Painted surfaces on wood or metal; Silver plate (silverware); Gold plate (silverware); China surfaces; Rubber surfaces; & Canvas surfaces.

In an interview with CEO Charles Kallmann, he stated that recent independent extended testing of the formulations used in SurfaceShield's products has been completed by International Test Laboratories, Newark, NJ. The tests were successful, in that the products met all of the criteria established to verify that the formulations worked properly. The formulations were designed by & purchased from Polymer Research Corporation of America by Charles Kallmann. He has assigned exclusive rights to CERNO Holdings Ltd.

The test results conclusively demonstrated that killing time, regardless of the substrate, is the same. A second testing program is about to begin to establish an initial accurate timelines for the kill effectiveness of different killing agents. When the tests demonstrate that the killing time is at least 30 days, the products will be released for sale, stating the 30-day killing time. Tests will continue to determine how much greater the killing action will last. If the extended tests demonstrate that the killing time is at least 90 days, for example, the products will thereafter be labeled and advertised accordingly.

Additional testing is planned to determine whether the products can be used on the skin, on open wounds, & on foodstuffs. If such tests are successful, and subsequently meet the requirements of the FDA, it is obvious that major new markets could be opened to TSPN.

SurfaceShield meets all relevant safety codes according to EPA, OSHA, & FDA standards (environmen­tally safe & user friendly). It is flame & explosion proof, corrosion proof, nonabrasive, nontoxic & nonstaining. It may be applied to the skin, as well as to the foods of various classifications without dangerous side effects.

SurfaceShield is intended to be applied to Acquagiene's UB-the Ultimate Bidets by spraying onto the surfaces prior to packaging. This provides initially disinfected surfaces. SurfaceShield can then be used to disinfect the Ultimate Bidet once it is placed into use in hospitals & homes, to prevent the spread of infection. SurfaceShield may be applied to surfaces by dipping, spraying, & rolling. Applica­tion of the chemical graft in no way changes or effects the substrate it is applied to, other than
(after application) providing an invisible armor of "kill" protection against the various types of bacteria & viruses it is designed to destroy.

The things SurfaceShield is designed to destroy include: E-Coli-various strains, Staphylococcus aureus - various strains, Enterococcus, Staphylococcus epidermidis - various strains, Mycoplasm hominis, Salmonella- various strains, G. Vaginalis, Proteus mirabilis, Pseudomonas, Chlamydia, Klebsiella pneumoniae, Candida albicans. The viruses it can protect against include: Syphilis, Genital Herpes, Gonorrhea, Hepatitis B, HIV, & Lapitar.

One interesting application is the military, where it should be able to substantially reduce the incidence of diarrhea & dysentery.

Acquagiene Products

Acquagiene Products, a NV corporation wholly owned by 37Point9, produces UB-the Ultimate Bidet line of personal cleansing systems designed for home as well as for use in hospitals, convalescent, & healthcare institutions, & in the hotel industry. The hotel industry, under Federal ADA regulations, must provide a percentage of their rooms especially equipped for the physically challenged. The systems allow consumers, medical facilities, & the hotel & leisure industries to retro-fit existing toilets into a combination toilet & bidet. This can be done without having to re-plumb utilities, move walls, or undertake other expensive alterations required for a stand-alone bidet.

Aside from obvious advantages for women, it offers handicapped individuals & those requiring assisted home care an opportunity to regain personal dignity in this intimate personal hygiene function.

These bidets are designed to be used by men, women, & children. Yes -- even children, as we've been told -- very young children who have experienced this product like it so much that their mothers have found they can potty train their children at a younger age than when a toilet not equipped with the Ultimate Bidet is used.

Where a traditional bidet installation in current homes would be very expensive, Ultimate Bidet can be purchased & installed by a homeowner for under $100. The UB1, the basic unit, has a suggested retail price of $99.99, the UB2, which can dispense lotions & medications, has a suggested retail price of $119.99, and the UB3, the unit designed for institutions, is made of brass, and has a suggested retail price of $129.99. With over three hundred million toilets in the U.S., the market opportunity is certainly substantial.

Charles Kallmann spent over four years on the development of this system. TSPN now will commercialize the product. Kallmann said TSPN is subcontracting the basic parts of the product, & use a very interesting facility in San Diego, CA to do the final assembly -- it's called "ARC Industries." It provides employment for handicapped persons, & has about 75,000 square feet of assembly space.

UB-the Ultimate Bidet attaches to toilet seats, retrofitting, converting, and updating all standard & automatic toilets to 21st century multi-functional cleansing, water therapy, & sitz bath systems, as well as permitting the toilet to be used for its original purpose. TSPN's products are similar to Europe's bidets without the additional plumbing & space requirements, because they can be used as both toilets and bidets. The unit can even dispense medicinal products for hemorrhoidal patients. UB-the Ultimate Bidet is classified as "DME" (Durable Medical Equipment), so the approval process is simplified. It has been tested by the FDA & we understand it is 501 exempt. It has disposable & replaceable nozzles, so is quite suitable for use in hospitals & hotels as they eliminate the potential for transmission of infections when used by different people. The system has successfully passed UL testing & meets all national plumbing codes pertaining to equipment of this type.

TSPN is making initial installations of its UB-the Ultimate Bidet models at West Point's Hotel Thayer, and at other hotels throughout the country.

SUMMARY

The alphanumeric name of 37Point9 was chosen for its uniqueness as a guidepost to its new marketing direction (37Point9 is the approximate latitude of Athens, Greece, the cradle of western civiliza­tion). TSPN has positioned itself as an entrepreneurial cradle for companies with unique products that serve one or more strong needs in the family environment.

In an interview with Kallmann early on, he told us that TSPN is interested in high-tech products -- ones that are sensible products which family members need to make their lives safer, healthier, & more pleasant.

The way TSPN operates is to identify companies that have products in that category that are protected by patent pending technology. It acquires such companies, & guides them in effectively commercializ­ing their products. In those cases where the industry is fragmented with a large number of small "Mom & Pop" operations, it plans to act as an industry consolidator, offering the liquidity of a publicly traded corporation. We believe that as TSPN grows, it will spin off some of its subsidiaries as new public entities.

TSPN acquired the privately held CERNO Holdings Limited, Inc., a NV corporation, through a stock purchase transaction. Charles Kallmann is chairman & CEO of TSPN.

CERNO was founded by Charles Kallmann, former chairman of The Hydrogiene Corporation (OTC BB/HICS). CERNO brings to TSPN the unique personal hygiene bidet products known as the UB-the Ultimate Bidet, as well as the soon to be patent pending SurfaceShield anti-microbiological, extended life, disinfectant system. The products comprising that system have undergone extensive testing by a highly respected independent testing laboratory. Those tests were successful. They verified that the products performed properly. A line of unique skin care products is also being brought to market.

CERNO has entered into a 50/50 joint venture known as the UB Corporation with IMC of Jenkintown, PA, one of the largest private marketing organizations in the U.S. (it has about 1,250 employees, produces infomercials, has about 5,000 carts in malls, about 77 magazines, & about 34 million customers). The JV will be a non-exclusive marketer of UB-the Ultimate Bidet both nationally & internationally. Beryl Wolk, president of IMC says he estimates that sales of UB-the Ultimate Bidet will be in the millions of systems per year.

MANAGEMENT: Experienced & Well Qualified

Charles Kallmann is CEO & chairman. He founded Hydrogiene Corporation, which contributed to the development of the Ultimate Bidet & SurfaceShield products. He also founded Star of Phoenix Aircraft Corp., & CERNO Holdings Limited, Inc.

Douglas Brown is president. He has extensive public & private sector management experience. Prior to joining 37Point9, he was VP of a San Diego investor relations firm.

John Rolls is executive VP & secretary. He is a licensed attorney in CA, & has been an advisor to several public companies in the California area.

Robert Parker is president of the Acquagiene subsidiary. He has a long history of senior manufacturing experience in the medical appliance & aerospace industries, such as Pioneer, Hughes, Harris Metronics, plus Invacare.

Ron Carnego was appointed CFO at the 7/30/2001 board meeting.

ADVANTAGES: A Sleeper In Waiting

We believe TSPN can be classified as a sleeper. It has two great products in its highly focused core business. They serve what is wanted & needed in several critical market segments. We believe TSPN's long-term appreciation potential can be substantial.

On 10/17/2001, TSPN announced the signing of a $500,000 funding agreement with the Goulding Trust of Northbrook, Il, a source of financing for numerous high-tech growth companies in the U.S. The first distribution was delivered 10/16/2001.

Randall Goulding, Trustee, indicated his strong belief in the future of 37Point9, its ability to locate & develop fledgling companies & its goal to become a significant incubator for companies with unique & desirable products. His association with a major Chicago based venture capital firm & his ability to facilitate strategic alliances was an important factor in TSPN's acceptance of funding from the Trust.

Goulding stated the uniqueness of 37Point9's subsidiaries' products intrigued him to provide added funding. He said the marketplace for Acquagiene's Ultimate Bidet & in particular the simplicity of installation & low price will be attractive to Americans who previously could not afford one of the basics of European society including those involved with home healthcare & the physically challenged. Further, he stated that SurfaceShield, a product of Cerno Holdings, with its patent pending long lasting disinfectant capabilities, would add a new dimension to the saying "a germ free environment." The ability to apply monthly, rather than daily, disinfectant that will retain an extended period of eradication of numerous microbiologicals such as bacteria, viruses, germs, & fungi, will present a major cost savings not only to the general consumer but to institutions as well.

TSPN president Douglas Brown said the funding would provide the capital infusion to both Acquagiene & Cerno Holdings to complete their product lines & bring them to market.

Here are some other key aspects of this special situation that impress us:

Kallmann told us that he met with TSPN's JV partner IMC, & the plan is to roll out the UB-the Ultimate Bidet product line beginning before the end of this year using an infomercial, magazine advertising, & a sales campaign to the 85,000 chiropracters in the U.S. IMC is being instrumental in getting the Family Guide seal of approval, & the Alternative Health Marketing Association seal of approval for the UB-the Ultimate Bidet.

In another interview with Kallmann, it was stated that the company embraces the policy of concentrating on its two core products, & will not entertain being diverted from that path -- a policy we certainly appreciate.

This is a situation where you can get in at an early point in the company's history.
