Dear GB Wilson:

Thank you for your letter of inquiry. As we are in the process of doing the merger with TMM, a lot of rumours and misdirecting statements have been popping up via e mails to me. I do my best to respond to as many of them as possible.

First and foremost, I can assure you that Cinemax Pictures is NOT an offshore corporation. I am not certain as to how you got this impression, but we are not now nor do we ever plan on operating as or ever becoming an offshore company or operation. We are located just outside Toronto, and duly licensed to do business by the CANADIAN CONSUMER AND RELATIONS OFFICE, BUSINESS REGISTRATION DIVISION. If that makes us "offshore" - it must be the shores of Lake Ontario. This is a totally false rumour and I thank you for asking me directly about it in order to put it to rest.

Secondly, in answer to your question about Capital Transfer. They were hired by TMM QBID and Cinemax plans to continue to use them as our transfer agents after the merger is completed. They are a Canadian company, but are cleared to handle US pink sheet stocks transactions. It is my understanding that TMM is completing a few necessary matters with OCR, then the TMM ledgers and files will be transferred over to Capital Transfer in the next few weeks.

Finally, the La Cienega address in Beverly Hills that you asked about is, as you thought, a mail drop. The mail is collected and forwarded on to me here in Canada at least once every two weeks. This "mail drop" is being done as a precursor to our opening Cinemax Pictures offices in the Los Angeles area. Beverly Hills is a bit too expensive for our tastes, so we have been looking at some great facilities in Studio City near the CBS Radford lot. There are also some excellent restaurants out there.

I appreciate you taking the time to write me and I hope these answers will help put you at rest about these particular false and misleading rumours.

Respectfully yours,

Constantine Papadopoulos
CEO
Cinemax Pictures & Prod. Co. Intl. Inc.
