Background: McBride has often mentioned that he was buying stock in the open market, yet has never filed a schedule 13D or Form 3 and 4...

+ Why haven't you ever filed the obligatory Schedule 13D and Form 3 to state your initial stake in SEVU, since you're considered an Affiliate/Insider and own much more than 10%?... Why haven't you filed a Form 4, every time your shareholding changed, for example after you granted yourself an additional 1 million shares recently...

Background: McBride repaid some $278,000 he owed SEVU with restricted shares, instead of cash and paid no interest on Lans for a period of at least 15 months...

+ You held Interest Free in excess of 2/3 of all SEVU cash, up to some $1.14 million following the PP, but averaging about $550,000 over a 15 months period: since you paid yourself 1 million shares recently, don't you think you should pay SEVU a cpmmercial rate of interest equivalent to what you would have paid, had you borrowed from commervial sources, say about 12%, for example?...

>> Your numbers are wrong. The million was borrowed for only
a few days and then re-paid. Some of the officer loans were
used to help employees, some for expenses that did not qualify,and some video equipment that was to large to take to shows. Anything that we felt was in any way improper was put as a loan.

The equipment I sent to the agency. You get 25 cents on the
dollar with an open box containing used electronics.
presentation equipment. I never held 2/3rds of SeaView's cash,
how ridiculous. Do your DD! If I had it to do over I would
have paid myself $250,000 a year and would have to pay nothing

Background: McBride wrote me an e-mail, dated August 31, 2000, from which I quote: "NAVY contract in next week! Have only put about 10 players in the stock, we picked up $500 K in the last two days." and "Hornblower & Weeks on the team. I have 1 million shares FREE TRADE to sell, ALL funds go to the company."

Frank, you bought stock in WLDI and never paid for it. Then
you avoided paying because of money troubles, when the stock
dropped in value you simply walked away and sent it back.

I have the e-mails from you Frank, If I have them posted
on RB you will be Red forever. I do not want to use them
and people now know you better.

+ Were you an Insider of WLDC/WLDI at the time of this e-mail and did you use Insider's information to buy $500,000 worth of WLDC/WLDI shares between you and 10 other "players", whom you informed of the opportunity?

information to know about.

+ Did you and/or SEVU use Hornblower and Weeks to help you support SEVU when it was under attack by the shorters and was Hornblower instrumental in helping move SEVU stock to $28.50?...

>> Neither SeaView or Myself traded, deposited, or sold
any SEVU stock with Hornblower. No insiders or good friends
did either. I would think Hornblower had nothing to do
with the stock going to $28.50 and probably sold into it.

+ Did you speak regularly with Brokers/Principals/employees at Hornblower during the period January to June 2000?...

>> I spoke with my broker as most people do. I was buying
SERV through them and a couple of your losers you were
pumping.
