As of April 5, 2006, the Company had approximately 15,239,235 shares of common stock, no par value, issued, of which 15,049,710 shares were outstanding. No shares are reserved for future issuance in respect of claims and interests filed and allowed under the Plan. As described above in the summary of the Plan, all common stock will be cancelled without consideration.
