can someone explain this to me please?

Because I think and think and can not understand it. If I assume some lawyers and accountants worked on this did they ever bother to check the calendar. This part bothers the heck out of me.

"The Contribution Agreement may be terminated at any time prior to the effective time of the merger, whether before or after stockholder approval has been obtained, as follows:

* by mutual written agreement of Platinum LP and the Company;
* on default of one of the parties under the Contribution Agreement;
* if the Transaction does not close on or before April 15, 2007; or
