"On July 12, 2024, the Company issued a $77,777.78 principal amount convertible promissory note, which is due in July 2025, to Apollo Management Group, Inc. The Company netted $10,000 in cash, with $7,777.78 in OID and $60,000 of existing indebtedness being included in the principal amount. The note is convertible at any time at the election of the holder at a conversion price equal to the lesser of (1) 40% multiplied by the lowest trading price during the 20 trading days preceding the issue date of the note or (2) 40% multiplied by the market price on the date of an applicable notice of conversion."
