UGEIF: effective Aug. 20,2024: Plan of Arrangement under the Business Corporations Act (Ontario), pursuant to an Arrangement Agreement dated May 28, 2024, between UGE and 1000896425 Ontario Ltd. (the "Buyer"), whereby the Buyer has acquired all of the issued and outstanding common shares of UGE. Under the terms of the Arrangement, UGE's shareholders will receive for $2.00 per common share
