Previous Independent Registered Public Accounting Firm









(i)

On May 6, 2024, Lingerie Fighting Championships, Inc. (the “Company”) dismissed its independent registered auditor, B.F. Borgers.









(ii)

The decision to dismiss B.F. Borgers was recommended and approved by the Board of Directors of the Company.









(iii)

The decision to dismiss B.F. Borgers was made after learning that the auditor is not currently permitted to appear or practice before the Commission.

The company is currently interviewing auditors with the intent to engage a new auditor as quickly as possible, understanding they will have to re-do the company’s 2023 and 2022 filings as well as the 2021 balance sheet.




Grace Period

Securities enter a Grace Period when OTC Markets Group is no longer able to confirm that the issuer’s disclosure is current and publicly available as required under Rule 15c2-11. When a security enters a Grace Period, it can continue to be publicly quoted for 15 days. At the end of the 15-day Grace Period, if the required disclosure is not available, the security will move to the Expert Market for unsolicited quoting only, unless OTC Markets Group determines another exception under Rule 15c2-11 applies, such as the Large Company/ADTV exception.

looks like CEO has some things to take care and updates will be needed soon one way or another

expect news soon bc BOTY needs to get pink current, SEC delinquent...and heading to EXPERT MARKET

not sure how much time is actually left on the "grace period"

its been two months since last "discloure" on termination of last accountant which is not BOTY's fault

I am not sure if the Grace Period will extend or how that will be managed as BOTY's accounting firm was fined for fraud, effecting so many other OTC listed companies as well.

if someone on IHUB has better understanding of the legalities of this and how it pertains to the affected listed companies, let us all know.
