This Registration Statement on Form S-8 (“Registration Statement”) is being filed by Elite Pharmaceuticals, Inc., a Nevada corporation (the “Company”), for the purpose of registering an additional 12,730,000 shares of the Company’s common stock, par value $0.001 per share (“Common Stock”) that were added to the shares authorized for issuance under the Elite Pharmaceuticals, Inc. Restated 2014 Equity Incentive Plan (“Equity Incentive Plan”) for which a Registration Statement on Form S-8 relating to the same employee benefit plan is effective.
