Hell I have proved in Court more complex issues then what you claim. It would be easy to prove whether or not the LOI was issued in good faith. Depositions would be taken of Deprima Garin and Miller and docs subpoenaed, as well as bringing in the Captiva exec to determine the rationale for termination of the acquisition even after Captiva built a facility.
The problem is with zero assets why would anyone litigate the issues as Paog is judgment proof and there is no insurance. The only remedy would be to render a complaint to the Feds which might work. Look at the website of Paog...they still have cannabis cultivators info as though they have some business operation ongoing. Despite the Pura acquisition getting undone there was no news put forth when it occurred. Lots of issues with this company.
