Maybe Art was worried about the $$ he foolishly loaned PCT

However, he knows PCT will have a few bucks coming in from the deal with ACE

He also knows PCT will have a few more bucks with their 1 year tail on certain hospital business

So this was the most opportune time to:

Repay those loans to himself from what ever funds he could put his hands on while some was available
Deregister PCT with the SEC so no filings are required, meaning no shareholder will ever be the wiser of the payback

Thats one possibility
