The guys from Reach Out built and owned their private company, and obviously intend to retain the lion's share of the ownership of the public company and don't intend to allow any significant % ownership by the legacy shareholders of this shell. Just read through that 1 page, it's all it takes.
Can't blame them, really, it's what anyone who built a company would want to do.

I swear I’ll never use the phrase “you can’t make this stuff up” ever again after being on the OTC. Apparently you can.
