Convertibles can't be converted during delinquency.

I'm guessing his buddies who loaned him all that money that he never intended to repay added pressure to get current.

The guy appears to owe money all over the show (look at his other scheme, $GSTC).

I wonder if somebody made him an offer he couldn't refuse?

Oh well, at least NOW they can convert all those shares at 75% of current PPS and then dump them.
