This Amendment No. 2 to Form 10-K (the “Second Amendment”) amends the Annual Report on Form 10-K for the fiscal year ended December 31, 2022, originally filed on April 26, 2023 (the “Original 10-K”), as amended on October 30, 2023 (the “First Amendment”), of Digital World Acquisition Corp. (“DWAC”). DWAC is filing the Second Amendment solely to amend Item 15(a)(1) of the First Amendment to include (i) an updated Report of Independent Registered Public Accounting Firm and (ii) updated disclosure under Note 2. Restatement of Previously Issued Financial Statements.
This Second Amendment should be read in conjunction with the Original 10-K and the First Amendment. Except as specifically set forth in this Second Amendment and the First Amendment, the Original 10-K has not been amended or updated to reflect events occurring after April 26, 2023.
