10:39 AM EST, 12/15/2023 (MT Newswires) -- AMC Entertainment Holdings(AMC) said in a regulatory filing Friday that between Dec.12 and Dec.14, the company entered into a series of privately negotiated agreements to sell shares in exchange for a portion of debt that was issued to an existing shareholder.

The company issued or will issue nearly 4.8 million class A shares in exchange for $36,000,000 principal amount of its 10%/12% cash/PIK toggle second lien subordinated notes due 2026, AMC said.

Due to the principal amount exchanged plus $514,652 accrued interest, the common stock issued had an implied value of $7.67 apiece, the company added.
