Why did RAKR do a restructuring of Rainmaker Holland?

Rainmaker Worldwide Inc. (OTC: RAKR) (“Company” or “RAKR”) announced today the completion of an Equity Exchange Agreement (“Agreement”) with its Dutch Shareholders that transferred 5.5 million USD in debt and liabilities from RAKR to its Dutch Shareholders who have taken an increased equity position in Rainmaker Holland B.V. (“RHBV”)

According to the slides from 2021, RAKR decided to sellout RHBV due to the high R&D costs. To whom they sold? PRs tell the story, first there was mention of a NASDAQ company called ANY, but that didn’t go through. Eventually 88% of RBHV was sold to Atradius (€2.4B revenue in 2022), NL based. A Spanish group, listed on the stock market in Madrid and Barcelona, Grupo Catalana Occidente (https://www.gco.com) owns Atradius.

Where is the test project located? Gran Canaria, one of the Spanish islands!!!

DDGF was involved in the transaction, selling the 88% stake in RHBV to the Spanish group. DDGF = Dutch Good Growth Fund https://english.dggf.nl

***The original Dutch shareholders retain a 16.9% stake in RAKR while RAKR retains a 12% ownership and one of two seats on RHBV’s supervisory board.

***In addition, RAKR retains the exclusive rights to use Rainmaker’s (RHBV) Air-to-Water and Water-to-Water technologies for WaaS projects globally.

The E.U. did a due diligence process of two years with €2.5M in funds to develop 4 water-to-water solution prototypes in the Canary Islands. According to Rainmaker Holland N.V. on LinkedIn the test project is up and running since 2023. Proving that the project is a success, it was posted on their LinkedIn page two weeks ago.
