I find it ridiculous that posters on a message board believe they know more about the laws governing these companies than the corporate lawyers? Tony doesn't need to do anything other than follow what the lawyers tell him need done, pretty simple.



You claimed the liquor license can be applied for AFTER the closing. That was after you claimed something about wholly owned subsidiaries and not needing one. You’ve certainly opined on the matter.

I don’t know more than lawyers, and what I know is pretty basic. I have never claimed to know more than a lawyer, but I speak from experience. Banks want to see your business registered with the state to open a checking account. Same with insurance companies. They want you registered so you have LEGAL standing. They may have to sue you, and an unregistered business has NO LEGAL standing in Court.

The liquor license is ALL about taxes. Alcohol is one of the most regulated industries out there, and the government is going to get their share off every drop. The moment Lena is sold is the moment the new owner is on the hook for the taxes, not Ross and his partners.

Also, the new owner is responsible for NOT selling to minors, being open too late, and other ordinances. Ross won’t be responsible for that either. The license can be suspended or worse for such infractions and the license holder can go to jail in some instances. There’s no waiting until AFTER the closing.

And we know is Tony announced two closing dates before posting a video of him signing a contract he never even read. Even a blogger knows a lawyer wouldn’t advise that. That was almost 10 months ago.

The lawyer can advise him, but it’s still up to Tony to get it done. All he does it talk about getting it done.
