Looks like it is something to do with share structure. Transfer agent and otc shows 342m, latest financials show 253m. 90m shares are missing. They have not updated those numbers, these are shares most likely to be paid to the merging company and or shares converted to pay down the loan or both as there is no more interest being charged for the loan in the last 6 months.
