"LiveStock Impact, Inc. will continue with the development and distribution of health and wellness products unique for animals. Presently, products for canine and equine users provide for improved appearance and general health as well as rejuvenating the animal for overall performance. The new company will continue its efforts beginning as an operating division of BioAdaptives, Inc., but, as a wholly-owned subsidiary, will gain the corporate independence to explore new alliances, develop new markets and products, and consider new and unique solutions for growth and expansion. The new Company will continue to rely upon past science and nutrition advisors to assist in product and formulation decisions."

It helps to actually read, and then actually understand the press releases and public filings. Let's start with the spinoff. Here is the truth. LiveStock Impact, Inc. is a wholly-owned subsidiary of BioAdaptives, Inc. While it is true that LiveStock is a "new" company with its own corporate governance, it is not a separately traded public company. It is a wholly-owned subsidiary and therefore still counts on the books of BioAdaptives, Inc. Anyone can read the press releases from August and September 2023, which explain what happened with this spinoff accurately. There will be no magic new shares worth some magic new amount of money. Absolute gibberish. Read the company's own press releases:

Your skill in copying and pasting portions of news articles or files is evident, yet the issue lies in your inability to grasp the essence of the spin-off. Consequently, you create misleading and nonsensical content in an attempt to influence and misguide readers here. Let me clarify things for you to understand.

In a spin-off, the parent company separates a particular division in order to create an independent entity. As a newly formed, independent entity, the business unit will have its own set of new shares (and ownership claims). The existing shareholders receive shares in proportion to their original ownership percentage in the company, Therefore, the number of shares received by an existing shareholder is directly a function of the number of shares the shareholder held in the parent company. After the completion of the spin-off, it is the decision of the shareholders on whether to continue to hold those new shares or to sell them in the open market.

DEFINITION
A spinoff occurs when a larger company turns a subsidiary into a separate, independent company by issuing shares of stock in the newly formed company. Shareholders of the parent company then receive shares of the newly formed spinoff company on a proportional basis.

The newly created spinoff operates independently and has its own management team. Additionally, when a parent company spins off a wholly owned subsidiary, the accounting treatment depends on the specific circumstances. This occurs because assets that now belong to the subsidiary are removed from the parent company's books, which lowers the parent company's book value. The assumption that these assets still count on BioAdaptives, Inc.'s books is incorrect and leads to misleading information. Going forward, the subsidiary will maintain its own accounting records and prepare standalone financial statements. The parent company no longer consolidates the subsidiary's results but instead accounts for its investment using the equity method or fair value method. Comprehend?

This is where your deception comes to light. Are you willing to take responsibility when I reveal the truth? Come clean in front of everyone. Acknowledge your error regarding the spin-off. Admit that you 'misunderstood' and got it wrong. Accept what everyone already knows, and pledge not to repeat it.

Max2121 has already tackled the misrepresentation and wordplay in the second part. I encourage you to revisit his post below.
