Reg A shares are usually offered to accredited investors, which has a minimum requirement for consideration. The price is where it is because there's no news and no volume post Reg A announcement. Having said that, If the price is hovering around the min price for Reg A offering, why would I buy it when I can get a similar deal by purchasing it as a retail investor? The ROI/risk with such a small markup, combined with the fact it recently dipped below the min Reg A price offering probably is giving significant pause to anyone thinking about participating.

Now, those who are qualified will most likely get additional information that may entice them to participate, but then they wouldn't be able to buy shares off the open market since they'd be tied up with an NDA for their direct investment.
