Negotiations never took place. Negotiations involve 2 or more parties with equal standing arriving at a mutually agreed to solution. Paulson did not permit such civilized behavior. He dictated (Hitler style) to FNMA BOD's what Treasury was going to do and if the BOD's did not agree, he threatened their very existence. That is not negotiation.

That discretionary privilege (assuming it ever existed) was negotiated away.
