Because you want a clean ticker for someone to merge into. A low OS gives the new entity room to dilute if needed. Starting from a huge (~8.2B) OS means the share price will trend to around $0.0002 naturally, and that is not attractive to someone trying to go public, as they would want a high share price to begin with.
