SW needs funding to grow certain areas of the BKMP business and/or just addtional funds to pay expenses. He needs captial, but he doest have it. Of course the most common way to raise funds for an OTC company is to dillute shares. But Sandy already said he wont do that. So if he did that it would cause a SH revolt and hurt the company , not to mention his credibility. So he sits down, takes a deep breath and relaxes with a cuban cigar. And they all of a sudden the light bulb goes off in his head and he has one of those "Ah-ha" moments.
So this is the plan he conjours up. I will issue a whole wack of preferred shares, but the structure will be so wacky that brokers dont want to deal with it. Then after investors get excited and buy more common shares to obtain more divys and nice foundation has been set. He then says for the benefit of SH they can convert their shares to common by a discounted price. Many SH will like this becuase they are getting cheap shares which on paper will already have a 100% gain (based on current prices). In this way he can keep the SH happy and raise the necessary fund to progress with his business plans.
This is Genius. I am talking Leonardo DiVinci type of genius. Using both his left brain (analytical) and right brain (creative).
