The duty of the officer is also to report the details of the "agreement" if it is a material event.

But George did not.

If it was somehow a way around FINRA's blocking of corporate actions then George is certainly shirking his duty, whether intentionally or due to ignorance.

Do you think George is ignorant? Do you think he is hiding things he is not supposed to?

Or do you think the "agreement" is in fact a nothingburger with no effect on the FINRA block?
