Can you explain. I see nothing that indicates Emil has given up control.

If there is a document indicating he has I would love to see it.

The form 4 filed showed additional preferred shares issued of 138,420. these vote equivalent to 214,551,000 shares. I am assuming that Emil is issued preferred shares once a year equal to the common shares issued to ensure he has control of the company.

So I am guessing they issued approx 214M shares in the last year. The fact that he received the additional shares tells me he still has control.

The preferred shares will convert to common shares 1 to 1 in an acquisition or count the same as common shares in settlements.

Emil has an interesting situation. His wife has all the shares and he only has warrants, options and the preferred shares.
Preferred shares = 73.5,031 shares
Warrants priced at .001 and .005 = 1,652,937,461 shares
Options priced at $.005 = 10,000,000 shares.

I was told Emil turned down an offer for his share totaling $200M. The fear was Emil would get paid and the lawsuits would be dropped and the rest of the shareholders would be screwed. That is one reason to believe Emil has our backs. If the offer was real it would be really easy to take the money and leave the other shareholders hanging. Of course there would have been a ton of lawsuits had that happened.

The negatives are Emil/Barbara, Chang and Williams are all selling. I hear Barbara put a ton of money in the company and wants to get some out to be safe. I understand that. However, I have no information on the money provided by Barbara. Did she receive shares for the cash? Was it a loan? Was it paid back? I don't have any info. If someone could help me understand what happened I would appreciate your assistance.

Chang needs cash as he is in bad financial condition. But how much does he need. He sold 300,000 shares last week but has another 4.4 million. Is he planning to sell all the shares? The form 144 says he plans to sell the additional shares. But you can file to sell all and only sell part of the shares. I have no idea why Williams is selling. He has 4.7 million and filed to sell them all. He sold 59,000 last week. I will be watching next week to see if all 3 people continue to sell. Barbara more than a million a week, 300,000 from Chang and Williams filed on the 13th so only had one day to sell. I assume he will sell around 300,000 a week also. 1.6M shares sold a week will drive the share price a lot lower.

Barbara is lucky she got a high price.

Good news. I am not sure if there is any near term good news. I had heard for quite some time that it was likely we get a settlement prior to the trial date. Now the trial is being moved. I have heard weeks to months. My guess is it will be early 2024 at best. I am guessing Jan or Feb. The question is how many times will Albright move the date. It is not easy to set a new date for 4 or more parties. We need a date that works for the court, VOIP and the defendants. But, moving the trial date and continued selling won't help the price. Buyers have no reason to purchase. The company looked like the cases were going to trial in 2023. Now that is all up in the air.

I can now see why Barbara is selling. She will take advantage of the higher price and then later this year I am betting she is able to buy 25-50M additional shares for $.005 a shares when the share price is under $.02 a share. It pays to have inside information on the trial and negotiation progress.

But the deal is not dead. It is just delayed. Hopefully late in 2023 the share price will begin to move higher again.
