Topic: Nixon playing 'Chicken' with legal deadlines ...

The Florida corporation database shows that Nixon HAS filed his annual report for Nixon Restaurant Group, where the filing:

On the other hand, although Nixon moved WCVC (on paper) to Florida in 2022 (on or about the day he got revoked by the SEC):

Nixon has NOT submitted his annual report for WCVC to Florida.

Filing between Jan 1 - May 1 is 'on time.' Filing after May1 but by the 3rd Friday of September means the company is late and incurs a fine.

Failure to file at all means the "business will be dissolved and [its] entity revoked."

This paragraph is a good lead-in to why that is a bad thing:

"Administrative dissolution is one of the worst things that can happen to a business entity and should be avoided at all costs. Nevertheless, it happens to tens of thousands of business entities each year. Adding to the misery is that in many cases, the people running the business have no idea the administrative dissolution happened and continue conducting business as usual."

Given that Nixon purposely moved WCVC to Florida last year, and he has a new agent for NRG -- where said agent really hates OTC fraudsters -- it seems hard to believe that Nixon would 'accidentally' let WCVC's Florida registration expire.

[Note: the last 2 WCVC annual reports filed with Edgar show NRG is a wholly owned subsidiary of WCVC, upon a reverse merger with it.]

So, with such a peril looming, why is NIxon playing chicken with yet another legal deadline?

Of course, as a reminder, Nixon played chicken with -- and purposely lost -- the deadline for keeping his Edgar filings current, and chose to get revoked.

Nixon knew -- in the trademark opposition case filed by Ilegal Mezcal-- the Trademark Board's deadline to show proof of good-faith settlement negotiations, and he apparently refused to sign-off on the negotiations by the deadline. [The state of that litigation is currently unknown.]

Nixon told the Denver Post he'd have his Takiza Taco and Tequila Bar on Wynkoop St open in the Spring of 2023, and it's now well into the summer. (There is evidence that he had to get H&R licenses for both of the locations he now says TTaTBs will occupy, but there's no way to know if he is on-time for other legal deadlines, to say nothing of any consumer-environment/market-window deadlines, many of which have come and gone already.)

What do corporate agents do? Well, the simplest explanation is that they accept legal service of process notifications for corporations, i.e., if you want to sue a company, the agent accepts the suit paperwork.

So, did Nixon change agents because he expects to be sued big time, and needs an agent that has time its hands? I phrase it that way because currently, Nixon's agent (see above), only has Nixon for a client as an agent -- see this search result link:

which is not only interesting (if you are interested in that sort of thing), but it focuses mainly on assorted bad guys and legal means to bring them to justice.

So ... it sure is a wonder that Hamilton and Associates agreed to be Nixon's agent when Nixon has consistently flouted legal deadlines for years that has resulted in his shareholders being left in the dark and holding the[ir] proverbial bag(s) of worthless shares.

Of course, there could be a 'happy ending' here (interpret that how you like), given that Hamilton and Associates seems a very UNLIKELY choice to help Nixon screw his shareholders deeper into the ground. That choice does, in fact, seem to be a harbinger of hope for WCVC shareholders.

Let's just hope that Nixon doesn't miss his deadlines for paying Hamilton's payment invoices.
