I don't really think that this is a problem, and I also hold the opinion that others have no real problem with this % also.

Here is the crux of the problem.

Whenever the A/S is increased, Tom automatically gets free shares, 44% of what is issued, for free! This is the way he wrote it. (I do understand that it can be argued that he is working for these shares...) But, on into eternity he gets free shares whenever he increased the share structure. (I could be wrong in this, but this is the way I understand it. Please correct me if I'm wrong.)

This is not an issue of control. He could have written in that he holds all the voting shares and limited his shares to whatever % to begin with. This would be no problem with anyone. I don't think that most would have a problem with this.

Even now, he could change this, keeping full ownership and limit his shares to his current level with no new shares issued to him as the A/S is increased. He has not chosen to do this. IMO, he should for the good of the company.

This is the problem: An ongoing automatic 44%. I believe that this should change and his shares limited or at least shares issued (from this point on) on a performance based issue to be determined, not an automatic basis.

I know you understand this whole problem, but I thought I would take a stab at splain' it once again.

Bottom line: Tom is free to do as he pleases. His choices may or may not increase the value of EDEX. His choices may also decrease the value of the PPS. Those are the questions he has to grapple with and choose. Many shareholders are now questioning the ongoing 44% freebees.


To Tom:

IMO, your presence at Ocala and face time with the shareholders and your personal discussions with them will do a lot to increase confidence in EDEX and in you. I hope you will invest, yes, invest in this opportunity. I don't think that your presence will immediately change anything or opinion, but it will be a great first step for all. Are you listening Wildcat?

I make one promise to you if you do invest in this opportunity, and that is that I will be respectful in what and how I speak with you and will do my best to see that others do the same. I will make every attempt to see that your time in Ocala will not be a "war" but a helpful "discussion" for the good of all involved. So, how about it?
