Those shares have been restricted for years. Any informed trader knows that the insiders could have lifted the restriction legend off those shares before they started trading again, and if there was going to be selling of affiliate shares, why would the CEO be buying with cash in the open market?

If it where me, and part of the deal I was negotiating on a merger/acquisition, the incoming company officers would want all the restricted shares from the current affiliates to either be cancelled or re-issued the incoming management. That's another reason I would be buying in the open market is because I would want to participate on the increases share value personally.
