Sir,

Quite frankly I am somewhat astonished by your various E Mails.

Obviously since Ted Blom's unexpected and tragic passing, I find myself as the Sole Officer of GNCC Capital, Inc. ("GNCC") and of Premier Development & Investment, Inc. ("Premier").

I am clearly the Sole Officer of GNCC, that is documented fact; and have been a Director of GNCC for a number of years. No, legally, I have no obligation to update anyone unless it is a material event. That is not my way of conducting myself and I (personally) believe that it is long overdue.

You are 100% correct insofar I am now very conflicted until a replacement for Ted has been appointed to Premier’s Board of Directors and as the new President. That I cannot comment upon right now and for obvious reasons.

In my opinion, it would be highly improper for me to comment at this moment of time; as to do so outside of the "public domain" would be unethical.

I am prepared to place of record certain facts and/or undertakings that do not cross the line of divulging non-public information; and as follows:-

I will discuss the issue of a fairly immediate Update to Shareholders and with: the incoming President of Premier (still being negotiated), our JV Partners, Bankers and the representatives of Premier’s Controlling Shareholders. It is not in any of our collective interests to annoy any of the aforementioned parties.

I think it is not unreasonable for me to commit to a detailed update within the next 10 business days provided that the new President of Premier has been appointed, assumed office and involved in decision making.
