Under the current capitalization of the Company, two Shareholders, who are director and a director-senior officer of the Company, and one public shareholder have sufficient shares of Common Stock to approve or block any proposed corporate action requiring shareholder approval.

Not sure how this can be true, under current capitalization and share holding reports. Wallach and Postal hold 40% of the company shares. That leaves 10%. No one public user holds 10% of the common shares, or they're blatantly avoiding their required filings for being a 5% or 10% holder.
