NOTICE IS HEREBY GIVEN that, on April 27, 2023, the members of the board of directors of Kisses from Italy, Inc., a Florida corporation (the “Company,” “we” or “us”), and on April 28, 2023, the holders of approximately 51.67% of the voting stock (the “Consenting Shareholders”) of the Company, approved an amendment to our Articles of Incorporation (the “Amendment”) described below without a meeting of shareholders, in accordance with the Florida Business Corporation Law. The Amendment will increase the authorized share capital of the Company from 300,000,000 shares of common stock, $0.001 par value per share (the “Common Stock”) to 650,000,000 shares of Common Stock.
