I see there is an S1 for preferred and common shares

Is this correct on the common shares: 14,750,000 shares for $1,025,315
This represents .069 per share.....am I reading this correctly? Based at the levels we are at now that represents a huge premium....which, would be good for current shareholders. Am I missing something?
