SGMA I'm assuming they picked a number like 19% so they wouldn't be considered to have control, and would not have to use the equity method. That would let them treat it as a fair value on the books rather than passing through gains and losses. I'm not positive but I think the threshold here is 20% which is why I suspect it was structured to avoid reporting wagz in the P&L. I'm no expert of course.
Also this is a good candidate for a low float runner. Not a lot of green on screens for people who want to get some action.
